Description of the company
The Berentzen Group is one of the leading beverage groups and with a company history of more than 250 years also one of the oldest manufacturers of spirits in Germany. Berentzen-Gruppe Aktiengesellschaft, headquartered in Haselünne, Germany, is the parent company of the Berentzen Group, which consists of more than 20 national and international subsidiaries in addition to the parent company. The Group generated sales of EUR 172.1 million (EUR 170.0 million) in the 2017 financial year and had 484 (487) employees at seven locations in three countries as of December 31, 2017.
As a stock corporation under German law, Berentzen-Gruppe Aktiengesellschaft has the organs of the Annual General Meeting, the Supervisory Board and the Executive Board, which each have their own areas of responsibility within the framework of the authority to issue powers under the German Stock Corporation Act (AktG). The annual general meeting as the supreme body decides primarily on the constitution of the company, including the determination of the articles of association and capital measures, the appropriation of profits, the appointment of the shareholder representatives to the supervisory board and the discharge of the supervisory board and the management board. The Supervisory Board is responsible for the appointment, supervision and advice of the Management Board; It is directly involved in decisions that are fundamental to the company, insofar as these are not reserved for the Annual General Meeting. The Supervisory Board consists of nine members, of which one third of the members are employee representatives in accordance with the One-Third Participation Act. The term of office of a Supervisory Board member is five years, whereby the Annual General Meeting may decide on a shorter term of office.
The Executive Board of Berentzen-Gruppe Aktiengesellschaft has at least two members. As a management body, the Executive Board of the Berentzen Group manages the business, determines the strategic direction of the company and implements it in consultation with the Supervisory Board. Currently, the departments of Marketing, Sales, Production and Logistics, Purchasing and Research and Development as well as the Finance, Controlling, Human Resources, Information Technology, Legal, Corporate Communications and Corporate Social Responsibility departments are each assigned to a Board of Management responsibility.
